Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Planout mobile application and website (together, the "Service"), operated by Codeaamy FZCO ("Planout", "we", "us" or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Who you are contracting with

The Service is provided by Codeaamy FZCO, registered in Dubai, United Arab Emirates. Your agreement for the Service is with Codeaamy FZCO. Its affiliate Codeaamy Private Limited in India provides engineering, infrastructure and support services to Codeaamy FZCO, and acts on its instructions.

In these Terms, "Codeaamy", "we", "us" and "our" mean Codeaamy FZCO and, where they are acting for it, Codeaamy Private Limited, together with their officers, employees and contractors. Every limitation of liability, disclaimer and indemnity in these Terms applies to both entities and to their officers, employees and contractors, each of whom may rely on it.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian. By using the Service you represent that you meet these requirements.

Child safety. We have a zero-tolerance policy on child sexual abuse and exploitation (CSAE). Any content or conduct that sexualises, grooms, solicits, or exploits a person under 18 is prohibited on the Service, and accounts responsible are permanently closed and reported to the relevant authorities. Our published Child Safety Standards set out what is prohibited, how to report it — in the app or by email — and how we respond.

3. Your account

To use most features you must create an account using a phone number, email, or a supported sign-in provider. You agree to:

• Provide accurate and current information;
• Keep your login credentials and device secure;
• Be responsible for all activity that occurs under your account; and
• Notify us promptly of any unauthorised use.

4. Acceptable use

You agree not to misuse the Service. In particular, you will not:

• Use the Service for any unlawful, harmful, harassing, or fraudulent purpose;
• Upload content that is illegal, hateful, threatening, or infringes another's rights;
• Attempt to access, disrupt, or reverse-engineer the Service or its infrastructure;
• Scrape, harvest, or collect other users' data without consent; or
• Impersonate any person or misrepresent your affiliation with anyone; or
• Sexualise, groom, solicit, exploit or endanger a minor, or share child sexual abuse material — see our Child Safety Standards.

5. Device permissions

Some features need your permission to work: notifications, contacts, camera and photos, and — separately — your Google Calendar. Each is optional and asked for only when you use the feature it belongs to. You may refuse or withdraw any of them in your device settings, and the rest of the Service will keep working.

You are responsible for having the right to share whatever you bring in through those permissions — a contact's number, or a photo with other people in it. What we do with that data is set out in the Privacy Policy.

6. Your content

You retain ownership of the content you create — plans, group details, messages, itineraries, expenses and similar ("User Content"). You grant Planout a limited, worldwide, non-exclusive licence to host, store, process and display your User Content solely to operate and improve the Service for you and the people you share it with. You are responsible for your User Content and for having the rights to share it.

7. Groups & plans

Planout helps you coordinate plans, groups, itineraries, availability and shared expenses. All plans and arrangements are made between you and other users. Planout is a tool to help you organise — we are not a party to, and are not responsible for, any real-world meetups, trips, payments between users, or events arranged through the Service. Any expense figures or "who owes what" calculations are provided for convenience only and are not financial or accounting advice.

8. Closing your account

You may close your account at any time from Profile in the app, or by emailing us from the address on your account. Your profile is closed, your name and photo are masked, and your personal data is deleted on the timetable set out in the Privacy Policy.

Content you contributed to a group — messages, expenses and the balances calculated from them — may remain visible to the other members of that group with your name masked, because it forms part of a shared record they rely on. Closing your account does not cancel a subscription bought through the App Store or Google Play: cancel that in your store account. Deleting the app does not close your account.

9. Payments & subscriptions

Core features of Planout may be offered free of charge. If we offer paid features or subscriptions, the price and billing terms will be shown to you before purchase. Purchases made through the Apple App Store or Google Play are processed by those platforms and are also subject to their terms. Cancellations and refunds are governed by our Cancellation & Refund Policy.

10. Intellectual property

The Service, including the Planout name, logo, design, software, and content we provide (such as game prompts), is owned by Planout or its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written permission.

11. Third-party services

The Service relies on third-party providers — including Google Firebase (authentication, database, storage, messaging), Google and Apple sign-in, and calendar providers you choose to connect. Your use of those features may be subject to the third party's own terms and privacy policies. We are not responsible for third-party services.

12. Indemnity

You agree to indemnify and hold harmless Codeaamy FZCO and Codeaamy Private Limited, and their officers, employees and contractors, against any claim, loss, liability or reasonable legal cost arising out of content you post, your use or misuse of the Service, your breach of these Terms, or your infringement of anyone else's rights. We will notify you promptly of any such claim and will not settle it without your consent, which you will not unreasonably withhold.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that availability information, reminders, or notifications will always be accurate or timely.

14. Limitation of liability

To the maximum extent permitted by law, Planout and its team will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or goodwill, arising from your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us, if any, in the 12 months before the claim.

15. If you are a consumer in the EEA or the UK

Nothing in these Terms takes away rights you have under the consumer law of the country you live in, and nothing limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited. Where these Terms conflict with a mandatory consumer right, that right wins.

You may have a statutory right to cancel a purchase within 14 days. Where the purchase was made through the App Store or Google Play, exercise it with Apple or Google — see the Cancellation & Refund Policy.

16. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that could harm us or other users. On termination, the licences you granted us end, except where content has already been shared with other users or where we must retain data to comply with law.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you in the app. Your continued use of the Service after changes take effect means you accept the revised Terms.

18. Governing law

These Terms, and any dispute arising out of them, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws rules. The courts of Dubai have exclusive jurisdiction, except that:

• if you are a consumer resident in the EEA or the UK, you may bring proceedings in the courts of the country you live in and you keep the protection of its mandatory consumer law; and
• where a claim concerns services performed by Codeaamy Private Limited in India, the courts of India may also have jurisdiction.
